Digital License Agreement & Terms of Use

1. Introduction & Acceptance of Terms
Thank you for shopping at CapyKit and purchasing your product (“Product”), created and owned by Jackie Quiring Inc., operating as CapyKit (“Licensor,” “we,” “us,” or “our”).
By completing your purchase, downloading, installing, or using this Product, you (“Licensee,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by this Digital License Agreement & Terms of Use (“Agreement”).
This Agreement constitutes a legally binding contract between you and Jackie Quiring Inc. If you do not agree, do not purchase, download, or use the Product.
2. License Grant
Upon purchase, we grant you a non-exclusive, non-transferable, single-user license to use this Product for your own personal or professional purposes on your own devices only.
You are purchasing a license to use, not ownership of, the Product or its underlying intellectual property. All rights not expressly granted are reserved by the Licensor.
3. Scope of Use
“Personal and professional use” means use by the Licensee for their own planning, organizational, or creative purposes.
It does not include:
Use on behalf of clients, customers, employers, or students.
Use in shared environments such as teams, companies, classrooms, or agencies.
If you wish to use this Product in such contexts, a separate commercial or multi-user license is required.
4. Prohibited Uses
You may not, under any circumstances:
Reproduce, share, upload, or distribute this Product or any portion thereof in any form, format, or platform.
Resell, sublicense, lease, lend, gift, trade, or otherwise make available to others — whether free or paid — including via Google Drive, Dropbox, Notion, or similar services.
Modify, adapt, or decompile the templates for the purpose of creating derivative works for sale, resale, or redistribution.
Claim authorship or design credit for any portion of this Product.
Post or host the Product, in whole or part, on any public or private file-sharing platform, including resale sites or marketplaces.
Use this Product for any purpose that infringes upon the intellectual property rights of the Licensor or any third party.
Use, upload, or incorporate the Product, in whole or in part, into any AI, machine learning, or data training system.
Attempt to remove, obscure, or alter any watermark, digital signature, or identifier embedded in the files.
Publicly display or demonstrate significant portions of the Product (e.g., in screenshots, videos, or tutorials) without prior written consent.
Circumvent or attempt to circumvent any digital rights management (DRM) or protection mechanisms.
Violation of any restriction constitutes copyright infringement and may result in immediate termination of this license, DMCA takedowns, and civil or criminal penalties.
5. Permitted Uses
You may:
Use the Product for your own personal, academic, or business planning purposes.
Store copies privately on your own devices or cloud accounts for personal backup.
Print or duplicate pages for your own offline or personal use.
You may not share, copy, or export the Product to others.
6. Intellectual Property Rights
All intellectual property rights — including but not limited to copyright, design, trade dress, layout, concept, and branding — remain the exclusive property of Jackie Quiring Inc.
The Product and all related materials are protected by Canadian and international copyright law, including the Berne Convention, the Copyright Modernization Act (Canada), and the Digital Millennium Copyright Act (17 U.S.C. §1201).
Unauthorized reproduction or distribution is strictly prohibited and may result in statutory damages of up to CAD $100,000 per infringement, plus costs, interest, and attorney’s fees.
7. Digital Watermarking & Evidence Consent
Each copy of this Product contains unique invisible identifiers and digital watermarks that link to your transaction.
By purchasing, you consent to the use of these forensic tracking tools for lawful purposes of copyright protection and enforcement.
If unauthorized distribution or sharing is detected, the Licensor may:
Revoke your license immediately without refund.
Issue DMCA takedown notices to hosting providers and online platforms.
Pursue civil claims for damages and legal costs.
Provide digital watermark evidence to support enforcement actions.
8. Termination
This Agreement and your license automatically terminate without notice if you breach any term herein.
Upon termination, you must immediately delete all copies of the Product from your devices and cloud storage. Continued possession or use after termination constitutes willful infringement.
9. Enforcement & Legal Remedies
We actively monitor for unauthorized distribution. Infringement or piracy may result in:
Cease & Desist letters
DMCA Takedown Requests
Claims for Statutory Damages (up to CAD $100,000 per act)
Recovery of Legal Fees and Investigative Costs
Permanent ban from future purchases
Reporting of your account to Etsy and related platforms
You agree to indemnify and hold harmless Jackie Quiring Inc. from all damages, legal costs, and enforcement expenses arising from any breach or misuse of this Product.
10. Refund Policy
Due to the digital nature of the Product, all sales are final and non-refundable.

11. Disclaimer of Warranties
The Product is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.
Use of this Product is at your own risk.
We make no guarantees regarding compatibility with specific devices, software, or future updates.
12. Limitation of Liability
In no event shall Jackie Quiring Inc. be liable for any indirect, incidental, special, or consequential damages, including loss of data or profit.
Our total liability shall not exceed the amount you paid for the Product.
13. Governing Law & Jurisdiction
This Agreement is governed by the laws of British Columbia, Canada, without regard to conflict-of-law principles.
Any disputes shall be resolved in the provincial or federal courts of Vancouver, BC, which you agree have exclusive jurisdiction.
14. Updates & Modifications
We reserve the right to update or modify this Agreement at any time without prior notice. Continued use after updates constitutes acceptance of the revised terms.
