Welcome to the Enterprise Tier of the Etsy API. These Enterprise Tier Terms are between you and Etsy and apply to your use of the Etsy API through the Enterprise Tier.
Please read these terms carefully to understand how to opt your Application into the Enterprise Tier (defined under Section 1 below), its benefits, and your commitments.
All of the following terms continue to apply to your use of the Etsy API:
- Etsy's Terms of Use (the “Etsy Terms”); and
- Etsy's API Terms of Use (the “API Terms”) (collectively, the “Terms”).
Capitalized terms not defined herein shall have the meaning given to them in the API Terms. For clarity, these Enterprise Tier Terms apply to any use of the Etsy API through the Enterprise Tier by your Application.
By opting your Application into the Enterprise Tier, you agree to these Enterprise Tier Terms, which includes, but is not limited to, the following commitments:
- Making an annual commitment to the Enterprise Tier, meaning your Application will be subscribed to the Enterprise Tier for a one-year term that will automatically renew for successive one-year terms, provided your Application continues to meet the Enterprise Eligibility Requirements, or until you opt out of renewal (as described under the “Developer Opt-Out” subsection of Section 1 below) or discontinue your Application (as described under the “Discontinuation of Application” subsection of Section 1 below);
- Providing Monthly Revenue Reports (as defined and in accordance with Section 3 below); and
- Paying any Enterprise Fees (as defined and in accordance with Sections 2 and 4 below).
1. Eligibility for the Enterprise Tier
The “Enterprise Tier” of the Etsy API program is an enterprise-level offering designed for commercial Applications that require over three (3) million API Calls per day and meet the following Enterprise Eligibility Requirements.
The “Enterprise Eligibility Requirements” are as follows:
- Your Application exceeds one (1) million API Calls per day, calculated as the average daily API Call volume over the preceding 12-month period; and
- Your Developer Account and all of your Applications are in good standing, fully meeting the App Quality Standards and in compliance with the Terms, the Etsy API developer documentation, and Privacy Policy (the Terms, Etsy API developer documentation, and Privacy Policy, collectively, the “Etsy Policies”).
Eligibility Notification. Etsy will notify you via the email associated with your Developer Account if your Application meets the Enterprise Eligibility Requirements. We may also, in our sole discretion, request further documentation regarding your Application to confirm that you have met the Enterprise Eligibility Requirements. Alternatively, if you believe your Application has met the Enterprise Eligibility Requirements, you may contact developer@etsy.com and request consideration for the Enterprise Tier.
Enterprise Opt-In Period. Upon receiving notification from Etsy that your Application is eligible for the Enterprise Tier, you will have fourteen (14) calendar days from the date of notification to opt in to the Enterprise Tier (such period, the “Opt-In Period”). Once Etsy receives your opt-in request, your qualifying Application will be considered an “Enterprise Application”, you will be considered an “Enterprise Developer” for such Application and your API Rate Limit for such Application will be increased to support over three (3) million API Calls per day.
If you decide not to opt in or we do not hear from you within the Opt-In Period, your API Rate Limit will not be increased and you will not be reconsidered for the Enterprise Tier for a minimum period of sixty (60) calendar days.
Annual Subscription. By opting in to the Enterprise Tier, you are subscribing to an annual term for your Enterprise Application’s participation in the Enterprise Tier, commencing on the date Etsy confirms the Application’s inclusion in the Enterprise Tier (the “Enterprise Tier Commencement Date”). If your Application continues to meet the Enterprise Eligibility Requirements, your Application’s subscription to the Enterprise Tier will automatically renew for successive one-year terms on each anniversary of the Enterprise Tier Commencement Date (the “Annual Renewal Date”), unless you provide Etsy with written notice of non-renewal, as required in the “Developer Opt-Out” subsection below. Your Application’s continued eligibility for each renewal term will be evaluated annually based on whether your Application continues to meet the Enterprise Eligibility Requirements.
Annual Eligibility Notification. In the ninety (90) calendar days preceding your Enterprise Application’s Annual Renewal Date, Etsy may, as a courtesy, notify you via email regarding a preliminary assessment of your Application’s continued eligibility for the Enterprise Tier based on Etsy’s then-current assessment of your Application under the Enterprise Eligibility Requirements. This notification is for informational purposes only and does not guarantee continual placement in the Enterprise Tier.
Failure to Meet Eligibility Requirements. If, based on the annual re-evaluation on the Annual Renewal Date, Etsy determines that your Enterprise Application no longer meets the Enterprise Eligibility Requirements, Etsy reserves the right to remove the Application from the Enterprise Tier.
Developer Opt-Out. If you no longer wish for your Application to remain in the Enterprise Tier following the conclusion of your current annual cycle, you must provide Etsy with at least sixty (60) calendar days advance written notice prior to your Enterprise Application’s Annual Renewal Date, with such notice delivered to developer@etsy.com. Upon receipt of timely written notice, your Application’s last day in the Enterprise Tier will be the last day of the then-current annual cycle. Failure to provide timely notification will be understood as your intent to continue your Application’s participation in the Enterprise Tier for another year, subject to continued eligibility.
Removal from Enterprise Tier. Upon removal of your Application from the Enterprise Tier, your Application will thereafter be treated as a non-Enterprise Application under the API Terms. Your Application will be subject to the standard API Rate Limit as specified in the Etsy API developer documentation, but in no event exceeding three (3) million API Calls per day. For clarity, upon an Application’s removal from the Enterprise Tier, you remain obligated to ensure that any outstanding Monthly Revenue Reports for such Application are submitted and any outstanding Enterprise Fees are paid in a timely manner in accordance with these Enterprise Tier Terms.
Discontinuation of Application. If you no longer wish to maintain your Enterprise Application or use the Etsy API, you may discontinue or withdraw your Enterprise Application by providing at least sixty (60) days’ prior written notice to Etsy and Etsy sellers that are using your Enterprise Application (the “Enterprise Withdrawal Notice Period”), unless Etsy, at its sole discretion, agrees to a shorter Enterprise Withdrawal Notice Period or determines that immediate suspension or termination of your Enterprise Application’s access to the Etsy API is necessary. During any Enterprise Withdrawal Notice Period, you agree to maintain your Enterprise Application and provide support and transitional services to the Etsy sellers using your Enterprise Application. Upon the effective date of discontinuation or withdrawal, the Etsy API access associated with that Enterprise Application will be terminated.
For the avoidance of doubt, if you wish to continue accessing the Etsy API through your Application, but move your Application off the Enterprise Tier, you must comply with the requirements outlined in the ‘Developer Opt-Out’ subsection, including providing the required advance written notice prior to your Enterprise Application’s Annual Renewal Date.
Right to Review. Notwithstanding the annual re-evaluation process, Etsy reserves the right to review the eligibility of any Enterprise Application for the Enterprise Tier at any time and may, in its sole discretion, remove an Application from the Enterprise Tier or disable your access to the Etsy API at any time and without notice, if your Developer Account or any of your Applications are no longer in good standing, no longer meeting the App Quality Standards or is otherwise in violation of the Etsy Policies.
2. Enterprise Fee for Enterprise Developers
For each calendar month that your Application remains in the Enterprise Tier, you will pay a monthly fee that is the higher of: (i) fifteen percent (15%) of the Etsy App Revenue that you earn through your Enterprise Application during such calendar month or (ii) US$2 for every ten thousand (10,000) API Calls made during such calendar month (such fee, the “Enterprise Fee”). The calculation of prong (ii) will be based on the total number of API Calls made by your Enterprise Application within a calendar month, rounded up to the next highest ten thousand (10,000) API Calls. For example, if your Application incurs 12,500 API Calls in a month, then prong (ii) will be calculated based on 20,000 API Calls.
“Etsy App Revenue” means any revenue generated by the Enterprise Developer that is attributable to the Application’s use of the Etsy API, including but not limited to: (a) revenue from Etsy orders facilitated, processed, or otherwise managed through the Application; (b) revenue from subscriptions purchased by Etsy sellers where any of the provided services utilize the Etsy API; and (c) any other revenue resulting from use of the Etsy API that supports Etsy sellers or otherwise contributes to activity on the Etsy platform.
The Enterprise Fee is exclusive of any applicable sales and use tax, value-added tax, or other similar type taxes. Where Etsy is legally required to collect such taxes based on your jurisdiction, these amounts will be added to the Enterprise Fee and will be payable by you (such amounts, the “Applicable Taxes”). Etsy's fees do not include any withholding taxes that might apply in your jurisdiction. You are required to pay Etsy the full amount of our fees and may not deduct any applicable withholding taxes from that amount. You will pay all amounts due, including Applicable Taxes, in full without deduction or set off. If applicable law requires you to withhold taxes, you will gross up payment to ensure Etsy receives the full Enterprise Fee. In addition to your indemnification obligations under the API Terms, you will indemnify, defend, and hold harmless Etsy against any taxes, interest, or penalties resulting from non-compliance with applicable law.
3. Monthly Reporting, Records and Inspection
As an Enterprise Developer, you are required to submit monthly revenue reports detailing all Etsy App Revenue for each of your Enterprise Applications (such report, a “Monthly Revenue Report”) by no later than 11:59PM UTC on the tenth (10th) calendar day after the end of each calendar month (such date, the “Monthly Report Deadline”). All Etsy App Revenue amounts in the Monthly Revenue Report must be denominated in United States Dollars (USD).
You must send Monthly Revenue Reports via email to your Enterprise Tier Account Manager that includes full and comprehensive information, including but not limited to your app user ID, relevant transaction details and associated Etsy App Revenue, and any other information which Etsy determines to be reasonably necessary for the verification and calculation of your monthly Etsy App Revenue and Enterprise Fee.
You must send Monthly Revenue Reports to Etsy from your Developer Email Address and in the format requested by Etsy. If you have multiple Enterprise Applications for which Monthly Revenue Reports are due, you must submit a Monthly Revenue Report for each Enterprise Application in its own individual email.
Any Monthly Revenue Report that is not submitted in compliance with the requirements of this Section 3 shall be deemed a failure to submit a timely Monthly Revenue Report.
Enterprise Developers shall maintain accurate and complete records of all transactions related to Etsy App Revenue and submit truthful and accurate Monthly Revenue Reports. Etsy reserves the right, twice every calendar year, to audit an Enterprise Developer’s records to investigate any suspected discrepancies in the reported Etsy App Revenue. Audits shall be at Etsy’s reasonable expense unless the audit reveals a discrepancy of ten percent (10%) or more in the underpayment of Enterprise Fees for the audited period, in which case the Enterprise Developer shall reimburse Etsy for its reasonable audit expenses and promptly pay Etsy any amounts owed.
4. Payment of Enterprise Fees
Upon Etsy’s receipt of a Monthly Revenue Report in accordance with Section 3 of these Enterprise Tier Terms, Etsy shall issue to the Enterprise Developer an invoice detailing the Enterprise Fee owed to Etsy for that month, plus any Applicable Taxes (such invoice, the “Enterprise Invoice”). All Enterprise Invoices shall be sent to your Developer Email Address. All payments of Enterprise Fees are final and non-refundable.
You will pay any Enterprise Fee via electronic funds transfer (EFT) to the account designated in the Enterprise Invoice and in accordance with any payment instructions provided by Etsy, in United States Dollars (USD), within thirty (30) days of the date the Enterprise Invoice is sent by Etsy to your Developer Email Address. Late payment or non-payment of any Enterprise Fee due will be deemed non-compliance with these Enterprise Tier Terms and may result in the suspension or termination of your Application’s access to the Enterprise Tier and its related benefits, as well as your access to the Etsy API as a whole, including your Developer Account and related accounts.
5. Enterprise Tier Benefits
Enterprise Applications will be eligible to receive an API Rate Limit exceeding three (3) million API Calls per day. Each Enterprise Application will be assigned an API Rate Limit that is based on Enterprise Application’s historical API usage and the reasonable operational requirements of the Enterprise Application, as determined in consultation with the Enterprise Developer, with Etsy retaining final discretion over the assigned API Rate Limit.
To the extent the Enterprise Application requires a higher API Rate Limit at any time, the Enterprise Developer can request a higher API Rate Limit by emailing their Enterprise Tier Account Manager. Etsy will review such requests and will determine, in its sole discretion, whether to grant any increase to the Enterprise Application’s API Rate Limit based on factors including, but not limited to, the Enterprise Application’s demonstrated need and the overall capacity of the Etsy API platform. Etsy shall have no obligation to grant any requested increase in an API Rate Limit.
Additionally, Enterprise Applications will have the opportunity to receive the following additional benefits (such benefits, the “Enterprise Perks”), which Etsy reserves the right to update, modify, or discontinue at any time:
- Priority Support. Enterprise Applications will have access to a dedicated email address for priority support regarding Etsy API inquiries. Etsy will use commercially reasonable efforts to acknowledge inquiries within one (1) business day.
- Quarterly Discussions. Enterprise Applications may request to participate in quarterly calls with Etsy’s Developer Relations team to discuss and provide feedback regarding the Etsy API.
- Etsy Apps Page. Enterprise Applications will be displayed within a carousel or other designated section of the Etsy’s App page.
6. Compliance with Enterprise Tier Requirements
To maintain your Application’s participation in the Enterprise Tier, your Developer Account must be in good standing at all times. This requires adherence to the requirements outlined in the API Terms and these Enterprise Tier Terms, which includes but is not limited to:
- Submission of accurate, complete, and timely Monthly Revenue Reports;
- On-time payment of all Enterprise Invoices and Enterprise Fees when due; and
- Maintenance of your Developer Account and all of your Applications in compliance with the App Quality Standards, these Enterprise Tier Terms, and the Etsy Policies.
Failure to maintain your Developer Account in good standing or to comply with these Enterprise Tier Terms or the Etsy Policies will result in the suspension or termination of your Application’s access to the Enterprise Tier and its related benefits (including Enterprise Perks), and your access to the Etsy API as a whole, including your Developer Account and related accounts.
For clarity, your obligation to pay any Enterprise Fee, as outlined in Sections 2 and 4 of these Enterprise Tier Terms, continues for any calendar month in which your Application remains within the Enterprise Tier, even if certain of your benefits (including Enterprise Perks) have been suspended due to non-compliance with these Enterprise Tier Terms or the Etsy Policies. Your obligation to pay amounts past due also survives any termination of your Application’s Enterprise Tier status, these Enterprise Tier Terms or the Terms.
7. Miscellaneous
Updates to Enterprise Tier Terms. Etsy reserves the right to change these Enterprise Tier Terms, at any time, as set forth in the API Terms. If you do not agree with the changes, you must immediately contact us at developer@etsy.com to request a downgrade to your Application from the Enterprise Tier or close your Developer Account.
Relationship to API Terms. In the event of a conflict or inconsistency between these Enterprise Tier Terms and the API Terms, these Enterprise Tier Terms will govern your Enterprise Application and prevail to the extent necessary to resolve the conflict or inconsistency.
