1. General
1.1 The following General Terms and Conditions (hereinafter referred to as GTC) apply to all contracts, deliveries and other services. The GTC apply to all current and future transactions between us and you as a customer. We hereby expressly object to your deviating regulations as a contractual partner. All ancillary agreements require written confirmation on our part. 10 Knoten is entitled at any time to amend or supplement these GTC, including all possible annexes, with a reasonable period of notice. Previously received orders or contracts will be processed according to the then still valid GTC. The GTC shall be deemed to have been agreed upon acceptance of the goods or services by you at the latest.
1.2 'Customers' within the meaning of these GTC are both consumers and entrepreneurs.
1.3 "Consumers" within the meaning of these GTC are natural persons for whom the purpose of the order cannot be attributed to a commercial, self-employed or freelance activity.
1.4 "Entrepreneurs" within the meaning of these GTC, on the other hand, are natural or legal persons or partnerships with legal capacity who order for commercial, independent or freelance purposes.

6. Terms of payment/ retention of title
All our services are due for payment immediately. Payment is generally made in euros. Until full payment, the goods remain our property. As long as you may not sell the goods, nor otherwise leave them to a third party. In the event of your default in payment, we are entitled to set you a reasonable deadline with a date for payment. If you do not pay until then, we are entitled to demand the surrender of our property. All access to our property must be prevented as far as possible and, if this is not possible, notified to us immediately. In the event of your default in payment, we are entitled to demand default interest. If you have not yet paid 30 days after the due date and receipt of an invoice, you will be in default without a reminder. Offsetting and retention are excluded.
7. Refusal of acceptance
If you do not accept the goods properly offered to you on time, we are entitled to charge 1% of the purchase price as storage costs per month or part thereof. Any deviating damage must be proven by the party relying on it. If you do not accept the goods from our side despite a reasonable period of time, we will charge you 25% of the order amount as compensation and lost profit. Here, too, it is possible to prove a higher or lower damage for both sides.
8. Warranty
We guarantee that the goods sold are free of material and manufacturing defects at the time of transfer of risk and have the contractually agreed quality. Upon arrival of the goods, you must inspect them immediately for defects and quality. In the case of obvious defects, these must be reported to us in writing within 8 days of discovery. Otherwise, the warranty (liability for material defects) for these defects does not apply. The warranty (liability for material defects) is two years from delivery or handover of the goods (our invoice date applies). In the case of complaints, the date of purchase must be proven with an invoice. Should the complaint be groundless or extend to normal wear and tear, the warranty expires and we reserve the right to charge for the processing effort. The warranty (material defect) expires if the customer changes the delivered goods. The company ALSTERPLANKE GBR has the right to free, twice rectification during the warranty obligation (material defect period). Partial or complete replacement of the item is permitted. For a replacement delivery, the usual delivery period is available to us after receipt of your complaint. After any unsuccessful rectification, you may set us a final deadline with an end date. Upon expiry of this period and unsuccessful second rectification, you are entitled to withdraw from the contract, reduce the purchase price or claim damages.
9. Transfer of risk
In the case of consumers, the risk of accidental loss and accidental deterioration of the goods sold in the case of sale by dispatch passes with the handover of the goods to the consumer or a recipient designated by him. This applies regardless of whether the shipment is insured or not. The handover is the same if the buyer is in default of acceptance. Otherwise, the risk of accidental loss and accidental deterioration of the goods shall pass to the buyer upon handover or, in the case of sale by shipment, upon delivery of the goods to the freight forwarder or the person or institution otherwise designated to carry out the shipment.
10. Description of the goods
Mass-produced furniture is sold according to sample or illustration. Customary and reasonable colour and structure deviations in wood surfaces are reserved. Likewise, customary and reasonable deviations in textiles (e.B. furniture and decorative fabrics and leather) are reserved. This applies in particular with regard to minor deviations in the design compared to fabric and leather samples, in particular in the colour.
11. Right of revocation
11.1 You have the right to revoke this contract within fourteen days without giving reasons. The revocation period is fourteen days from the day on which you or a third party named by you, who is not the carrier, has taken possession of the goods.
In order to exercise your right of withdrawal, you must inform 10 nodes (www.10Knoten.de, Kaiser-Wilhelm-Str. 73, 20355 Hamburg, info [!at] 10Knoten.de) of your decision to revoke this contract by means of a clear declaration (e.B. a letter sent by post or e-mail).
To comply with the revocation period, it is sufficient that you send the notification of the exercise of the right of revocation before the expiry of the revocation period.
11.2 Consequences of revocation
If you withdraw from this contract, 10 Nodes shall reimburse you all payments we have received from you, including delivery costs (with the exception of the additional costs resulting from the fact that you have chosen a different type of delivery than the cheapest standard delivery offered by us), immediately and at the latest within fourteen days from the day on which we received the notification of your revocation of this contract. For this repayment, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees for this repayment. We may withhold reimbursement until we have received the goods back or until you have provided proof that you have returned the goods, whichever is the earlier.
You must return or hand over the goods to Alexander D. Marifoglou, Kaiser-Wilhelm-Str. 73, 20355 Hamburg, immediately and in any case at the latest within fourteen days from the day on which you inform us of the revocation of this contract. The deadline is met if you send the goods before the expiry of the period of fourteen days. You bear the direct costs of returning the goods. You only have to pay for any loss of value of the goods if this loss of value is due to a handling of you that is not necessary to check the nature, characteristics and functioning of the goods.
11.3 The right of withdrawal does not apply to the following contracts:
Contracts for the delivery of goods that are not prefabricated and for the manufacture of which an individual selection or determination by the consumer is decisive or which are clearly tailored to the personal needs of the consumer. Specifically, at 10 knots, only those goods are considered individually tailored for which other dimensions and/or colors than those indicated on the product pages are ordered.
11.4 Costs of return:
If the customer has effectively exercised his right of withdrawal, he is obliged to send the received goods at his own expense to the listed address.
12. Liability
Liability is limited to damages caused by us or one of our vicarious agents through gross negligence or intent. The limitation of liability applies to contractual as well as non-contractual claims.
13. Applicable law, place of jurisdiction
13.1 If the customer is not a consumer and nothing else has been agreed, then Hamburg shall be deemed to be the place of performance/performance for all obligations arising from the contractual relationship.
13.2 For these terms and conditions, as well as the entire legal relationship between 10 nodes and you, the law of the Federal Republic of Germany is bindingly agreed.
13.3 For all present and future claims arising from the business relationship with merchants, including bills of exchange and cheque claims, the exclusive place of jurisdiction is Hamburg.
13.4 The same place of jurisdiction shall apply if the customer does not have a general place of jurisdiction in Germany, moves his domicile or usual place of residence from Germany after conclusion of the contract or if his domicile or usual place of residence is not known at the time the action is brought. In all other respects, in the case of claims of 10 knots against the customer, the customer's place of residence shall be deemed to be the place of jurisdiction.
14. Severability clause
The nullity or ineffectiveness of individual provisions of these GTC shall not affect the validity of the remaining provisions. Void or ineffective conditions shall be replaced by the statutory provisions.
