ARTICLE 1 - APPLICATION OF THE GENERAL CONDITIONS OF SALE - ENFORCEABILITY OF
GENERAL TERMS AND CONDITIONS OF SALE
The fact of placing an order implies the buyer's full and unreserved acceptance of these general conditions of sale, to the exclusion of all other previous or particular documents and in particular prospectuses, catalogues issued by the Seller and which have only an indicative value. No special condition may, except formal and written acceptance of the Seller, prevail over the general conditions of sale. Any contrary condition set by the Buyer will therefore, in the absence of express acceptance by the Director of the Seller's Company, be unenforceable against it, regardless of when it may have been brought to his attention. Any special conditions will be the subject of an agreement negotiated between the parties and will be annexed to these general conditions of sale. The fact that the Seller does not avail himself at a given time of any of these general conditions of sale can not be interpreted as a waiver to avail himself subsequently of any of the said conditions.
ARTICLE 2 - APPLICABLE LAW

In case of sale on the French metropolitan territory, Corsica and D.O.M.-T.O.M., as in case of international sales, French legislation will apply. In the event of international sales, for all matters not regulated by French law and these general conditions of sale, the parties agree to refer to the provisions of the Vienna Convention on the International Sale of Goods of 11 April 1980.

ARTICLE 3 - ORDER TAKING

All documents sent to the Seller by the Buyer, bearing orders and signed by the latter, bind him. Firm orders are final only after express acceptance by the Seller. The benefit of the firm order is personal to the Buyer and cannot be transferred without the agreement of the Seller.

ARTICLE 4 - MODIFICATION OF THE ORDER


Changes to the order that we accept may, if necessary, give rise to an increase in the priced prices. They are also subject to a new purchase order and a new delivery time.

ARTICLE 6 - DELIVERIES - SHIPMENTS

6.1 The Seller reserves the right to make any changes it deems useful to its products at any time and, without obligation to modify the products previously delivered or ordered, it reserves the right to modify the models in its prospectuses and catalogues without prior notice.
6.2 Deliveries are only made according to availability and in the order in which orders are placed. The Seller is authorized to make deliveries in whole or in part. The day of receipt of the goods must be marked on the delivery note. Delivery times are indicated as accurately as possible but depend in particular on the Seller's supply and transport possibilities. Exceeding the delivery time cannot give rise to damages, withholding or cancellation of orders in progress. The Seller is relieved of his delivery obligation in case of force majeure or de facto of the prince. In any case, timely delivery can only take place if the Buyer is up to date with his obligations to the Seller, whatever the cause. In any case, no claim will be taken into account after this period of 30 days on the date of receipt of the customer.
The processing of any order is effective within five working days except in the case of a day preceding or following a public holiday. Shipments are handled by La Poste's service for metropolitan France and by TNT for the DOM-TOM and internationally.
Delivery times can in no case give rise to damages, withholding or cancellation of orders in progress. The risks related to transport are borne by the buyer who, in the event of damage and / or missing material found at the time of receipt, will make all the usual reservations with the carrier and will inform within 24 hours the Customer Service of the company Uxs' prod Xavier Audibert by:

ARTICLE 7 - FORCE MAJEURE

In case of force majeure as of the fact of the prince, deliveries will be interrupted without prior information to the customer, the orders in progress being honored as soon as the events preventing the execution of the order cease, without the customer being able to terminate it or initiate any compensation procedure against the Seller.
For the application of this clause, the parties agree that war, riot or revolution, fire, strike or lock-out in industries or shops of products marketed and / or used by the Seller, the stopping of means of transport but also, as a result of any bad weather, requisition or legislative provision, shall be considered as force majeure, regulatory or otherwise, any restrictions on the current state of commerce within the Seller's sector of activity.

ARTICLE 8 - PRICE - RISKS

8.1 The products are supplied at the price in force at the time of placing the order. - For any order, the prices are ex Atelier, in accordance with the provisions of incoterms No. 460 of the International Chamber of Commerce. In this case, the customer, if he requests the shipment of the goods to a specified place, will pay any additional transport costs, insure all the risks related to these transports and will be responsible for customs and import procedures. Acceptance of the delivery implies acceptance of the price by the purchaser who will be deemed to have expressly known and accepted it. Prices are net, including packaging, except packaging and special markings invoiced extra. The contribution to the recovery of waste (Eco-Packaging) cannot be taken into account in the context of price negotiations, in order to avoid any risk of subsequent dispute on this point.
8.2 Without prejudice to the measures to be taken vis-à-vis the carrier, complaints about apparent defects or mismatch of the product delivered to the product ordered or the packing slip, must be made by registered letter with acknowledgment of receipt within three days of the arrival of the products. It will be up to the Buyer to provide all justifications as to the reality of the defects or anomalies found. He must leave the Seller every facility to proceed to the observation of these defects and to remedy them. He shall refrain from intervening himself or from involving a third party for this purpose.

ARTICLE 9 - WARRANTY - SCOPE

9.1 The Seller guarantees the buyer against hidden defects of the products sold, with the exception of products that will be resold by the buyer in the territory of the United States or Canada, for which no guarantee or liability of any kind whatsoever will be assumed by the Seller. This guarantee excludes damage resulting from accidents,
9.2 All products under warranty must be returned prepaid and will be returned under the same conditions to the Buyer.

ARTICLE 10 - WARRANTY - EXCLUSION

Defects and deterioration resulting from abnormal use or an external accident (improper handling, shocks, deliberate or unintentional degradation, theft) or from an unforeseen or specified modification of the product, non-compliance with the requirements concerning transport, storage and storage methods, are excluded from the warranty. Similarly, the guarantee will not apply to apparent defects which the purchaser must rely on under the conditions of Article 8.2.

ARTICLE 11 - INVOICING

Each delivery will correspond to an invoice. This invoice shall contain all the particulars provided for in Article 31 of the Ordinance of 1 December 1986 as amended. The price reductions granted to the customer can only appear on invoice and be deducted from the sale price if these deductions are acquired on the date of the sale, the conditions related to the obtaining are fulfilled and are directly related to the sale transaction,
in accordance with the provisions of Article L441.3 of the French Commercial Code. Under no circumstances will invoice discounts be granted retroactively.

ARTICLE 12 - PAYMENT - TERMS

All invoices are payable by cheque, bank transfer or credit card, in euros. They will be paid in cash.

ARTICLE 13 - PAYMENT - DELAY OR DEFAULT

13.1 In the event of late payment, the Seller may suspend all orders in progress, without prejudice to any other course of action. In the event of non-payment of total or partial payment of an order, the sums due under this order or other orders delivered or in the process of delivery, become immediately due, without prior notice. No discount will be granted by our Company for advance payment.
13.2 Where payment is in instalments, failure to pay a due date will result in the immediate exigibility of the entire debt, without formal notice. Under no circumstances may payments be suspended or be subject to any compensation without the prior written consent of the Seller. Any partial payment will be charged first to the non-privileged part of the claim, and then to the sums for which the exigibility is the oldest.

ARTICLE 14 - RETENTION OF TITLE

The transfer of ownership of the products sold is subject to full payment of the price by the Buyer. Thus the Seller will retain full ownership of the goods until full payment of the corresponding invoice by the Buyer, checks and negotiable instruments being considered as means of payment only from the date of their actual cashing.

ARTICLE 15 - PACKAGING - LABELLING - POS

Unless previously and expressly agreed by the Seller, packaging and POS bearing the brand or company name of the latter may only be used for its products and may in no case be used for products other than its own. Any breach of this rule would expose the perpetrator to criminal prosecution and the payment of damages.

ARTICLE 16 - DISPUTES - DISPUTES - JURISDICTION

The parties will try to resolve amicably disputes of any kind or disputes relating to the formation or execution of the sale. In the absence of agreement, only the Courts of the registered office of the Seller's Company will be competent.
